My first thought is to call this a classic, but perhaps that is too strong. The text is extremely lucid and well organized. Matsurra does an excellent job at making interesting otherwise dry legal dangers facing any ecommerce organization. Get every member of your staff to read this. It will be a well rewarded investment.

I took Tax as a 3L and was completely lost until I received my copy of this book. I used it to supplement my course readings and found that I was able to participate in discussion without looking like a fool. I got a very good grade in the course and I feel that the explainations provided by the book were probably why.

Four hundred and forty nine pages of very small text (as well as illustrations) of extremely detailed Oswego history. THIS is one of the definite texts used by contemporary historians!

This book emphasizes what everybody shoud have done for a long time : listening to the Indians of the Pacific Northwest to protect the rivers and salmon. The book contains many useful and comprehensive information about software and the Internet law in various aspects. I can say that, comparing with other similar law books I have read, this book does provide most cutting-edge issues, specifically software licensing.

I owed almost $95,000 in back tax and interest to the IRS. My yearly income is almost steady $45,000 before tax for last 7 years. I am supporting a family of 3. I live in New York. My apartment rent alone is $1,100. Owed amount was getting bigger and bigger because of the interest. Obviously, I wasn't eligible any kind of loan. I never thought I would ever be out of debt.

If you need to know anything about state taxes, you need this book. It'll tell you. May not be the most fun you'll ever have, but it is informative.

The 4th edition brings with it new cases and commentary on the state of the sale and leasing of goods. What educated reader wouldn't buy this?

My motivation for purchasing this book was to gain a deeper understanding of the legal aspects for start-ups, venture capital investments, and buyouts. I was pleasantly surprised to read how clearly the points were made (I am not a lawyer) and thoroughness of the different sections. This book covers popular topics like start-ups and buyouts in addition to more esoteric topics including industry consolidations and turnaround investments. Furthermore, each topic discusses various ways to structure the transaction (e.g. business entity, financing) and the implications of the decision (e.g. liability, tax impact, regulations). Although the book is targeted to business lawyers it really is an invaluable source of information for entrepreneurs and business owners. For example, techniques for VCs to negotiate deal terms with entrepreneurs are covered. Entrepreneurs should be familiar with the options to make sure they are getting the best deal for their situation.

Anyone looking for a quick high-level read should skip this book as there are a lot of details. However, if you are looking for a comprehensively detailed reference book, then I highly recommend "Structuring Venture Capital, Private Equity, and Entrepreneurial Transactions" by Jack S. Levin.
