In their opening words in Chapter 1, the authors state.... "the purpose of due diligence is to develop information that allows one to make a reasonable estimate of the viability and future profitability of a business being considered for acquisition." I belive that the authors' step-by-step approach and easy to follow guide have most effectively enabled the reader to make just such a determination. The checklists and critical questions that are provided in this text are well worth the cover price, in and of themselves. I believe that this book is an excellent companion to Joseph Krallinger's text, "Mergers & Acquisition: Managing The Transaction." The authors' hands-on business experience, as well as their academic abilities are clearly in evidence in their work. The chapters related to the valuation of the various forms of assets and liabilites (including the potential legal consequences) are especially valuable to the reader. As a leadership coach to CEO Entrepreneurs and as an academcian who teaches courses in entrepreneurial leadership and decision making, I find this book to be a valuable resource. All in all I'd strongly recommend this book to any entrepreneur or would be entrepreneur who is considering the acquisition of an existing business.

Good general intro for laymen, not lawyers
Helpful Votes: 0 out of 0 total.
Review Date: 2005-08-01
The general approach of this book is to present the full text of a very simplified aircraft entity operating agreement and to explain the various provisions and why they are there. In the course of doing this, the author shares a number of war stories regarding what can go wrong, and in some cases, practical solutions/approaches to solve/avoid the problems. The author's comments will certainly save the newcomer a number of headaches, and point out important things to consider before becoming "wedded" to a group of co-owners. I would reccomend the book for those not really interested in the legal details but who need a place to start thinking about getting into aircraft co-ownership without stubbing their toe.

The mantra of this book is "see your lawyer and accountant for details". This is of course good advice given the varying impact of state law and individual tax considerations, but not very satisfying for those looking for something to sink their teeth into. The book lacks detail or legal citations for much of what is here, and so is of limited usefulness to lawyers and accountants etc. looking for a professional reference work. For example, there is basically no meaningful discussion of such important matters as choice of entity (LLC vs. Corp vs. Partnership vs. Limited Partnership).

If Amazon does not show copies of this book available for order, you should be able to obtain it from Experimental Aicraft Association. It is my understanding that the author of the book is/was a longtime EAA member.

If you're looking for something more legal technical, I would instead reccomend "Aircraft Ownership : A Legal and Tax Guide" by Raymond C Speciale.

An introduction to menswear by the famed mens clothing designer. While it is obvious Mr. Flusser has a preference for the English Saile Row ideal, the sartorial knowledge dispensed from the book can be applied universally. Please bear in mind the book is about good taste & classical style, as oppose to fashion victimship.

I've been riding since High School, back in the 60's. Layed two bikes down, one my fault, one a little ole ladies fault. I read about Buz and the 3 advisors and laughed. This book had to have been written by a Safety Instructor. Along with the laughs, along with the bad advise, there were plenty of great tips for new riders and riders that have been on the road for quite a while. It was a great review, it was a great story, and I'd love to say more, but, it has gotten me in the mood to ride. See ya on the open road Buz! Just remember to give a wave as you go by.

Skillman's _Moving to the Country_

Having just checked this book from the library... Perhaps no more a gamble than buying country property, which is lessened by this informative, practical, ecology-friendly, non-preachy, how-to book about the process of moving to the country. I imagine there are places in Hopland, CA that try to sell you this information for quite a bit more. Skillman is straight forward as he describes everything about the process from what to expect from country economies, societies, real estate brokers, financing, etc. He provides extremely helpful advice on how and if to build septic tanks, angle of sun and slope, how to build overhangs and face your home to maximize sun in winter and minimize in summer, getting electricy and water, etc. He gives well-founded cautions on pitfalls of moving to the country. I felt like I was in dialogue with a caring uncle who was expert via experience on the subject. I could almost see Skillman measuring the water pressure or driving up gravelled roads to see where easements lay. One small satisfying book, Skillman covers everything I had to read several books to find out.
